Section One: The Platform Role and Limitation of Agency
STORI is a Software-as-a-Service (SaaS) Network platform. STORI provides the technology to facilitate transactions between Brands and Content Creators.
- No Employment: STORI does not employ Creators. Creators are Independent Contractors.
- No Agency: STORI does not act as a talent agent or a marketing agency. We provide the infrastructure; the users provide the performance.
Section Two: Financial Terms and The Vault (Escrow)
All financial transactions are processed via Stripe Connect.
- Payment Requirement: Brands must fund the total assignment/project upfront. Funds are held in the STORI Platform Balance ("The Vault").
- Non-Refundable Fee: STORI collects a 15% Service Fee immediately upon the funding of a project. This fee is for the provision of platform services, escrow management, and logistics integration and is non-refundable once the project is initiated.
- Payouts: Funds are released to the Creator only upon the Brand's manual approval of the deliverables or via STORI's dispute resolution process.
Section Three: Indemnification
To the maximum extent permitted by law, STORI (and its founder) is NOT responsible for:
- Product Liability: If a Brand's product causes injury, illness, allergic reaction, or property damage to a Creator, the Brand assumes 100% liability.
- Shipping Failures: STORI provides an integration with Shippo for convenience. We are not a shipping carrier. We are not responsible for lost, stolen, or damaged goods. Any shipping disputes must be resolved between the user and the carrier (UPS/FedEx/USPS).
- Content Performance: We do not guarantee ROI, sales, or views. Brands acknowledge that they are paying for the creation of content, not the result of it.
- Legal Compliance (FTC): Creators are 100% responsible for following FTC disclosure guidelines (e.g., using #ad). STORI is not liable for any regulatory fines resulting from a Creator's failure to disclose a paid partnership.
- IP Infringement: If a Creator uses copyrighted music or imagery without a license, the Creator is solely liable for any legal action taken by third parties.
Section 4: Dispute Adjudication
By using STORI, both Brands and Creators agree that STORI has the final authority to adjudicate disputes. If a Brand claims work was not completed, or a Creator claims work was completed but not paid, STORI will review the "Receipts" (in-app messages and shipping data) and release or refund the money. Our decision is final.
Section 5: The Production Lifecycle & Mandatory Deadlines
5.1 Shipping & Fulfillment (The 48-Hour Rule)
Upon the funding of the assignment/Project Budget into The Vault, the Brand is contractually obligated to initiate the shipment of the physical product ("The Prop") within forty-eight (48) hours, utilizing the auto-generated shipping label created through our third-party platform.
- Verification: Shipment is verified exclusively via the integrated Shippo tracking number.
- Default: Failure to ship within 48 hours grants the Creator the right to request a project cancellation and a full refund of the budget (minus the non-refundable STORI Service Fee) to the Brand; unless, the Brand requests an extension.
5.2 Content Production (The Selected Deadline)
The Deadline for content delivery is established by the Brand at the time of project initiation. The Brand may select from four (4) mandatory durations: 24 hours, 48 hours, 5 days, or 7 days.
- Commencement: This "Clock" begins the moment the carrier marks the tracking number as "Delivered."
- Irrevocability: Once a deadline is selected and the project is funded, it cannot be modified by either party.
- Default: Failure to upload the final asset by the deadline allows the Brand to request a "Late Termination," which may result in a full refund of the commission to the Brand and a "Strike" against the Creator's profile.
5.3 The "Silent Approval" Rule (The 5-Day Auto-Release)
Upon the Creator's upload of the final deliverables, the Brand has five (5) calendar days to review the content.
- Deemed Approved: If the Brand does not "Approve" or "Request an Edit" within this 5-day window, the platform will automatically release the funds from The Vault to the Creator.
- Finality: Once funds are released via Silent Approval, the transaction is considered fulfilled and is non-reversible.
5.4 Revisions & Edits (The 3-Edit Limit)
To prevent creative scope-creep, the Brand is entitled to a maximum of three (3) rounds of edits.
- Scope: Edits must be consistent with the original project brief.
- Final Action: After the third round of edits, the Brand must either: (a) Approve the final version, or (b) File a formal Dispute for STORI mediation.
Section 6: Prohibited Content Policy
STORI is committed to maintaining a safe, lawful, and professional marketplace. The following categories of content are strictly prohibited from being created, distributed, commissioned, or facilitated through the STORI platform. Violation of this policy may result in immediate account termination, forfeiture of any funds held in The Vault, and referral to appropriate law enforcement authorities where applicable.
6.1 Adult and Sexually Explicit Content
Content that contains nudity, sexually explicit acts, or adult-oriented material is strictly prohibited. This includes, but is not limited to, subscriber-only nude imagery, adult audio or video live chat services, and any other content of a sexual or pornographic nature, regardless of whether the subject(s) are consenting adults.
6.2 Intellectual Property and Proprietary Rights Infringement
Users may not create or distribute content that infringes upon the intellectual property or proprietary rights of any third party. This includes unauthorized use of trademarks, trade secrets, patents, and any other protected proprietary material. Creators are solely responsible for ensuring they hold all necessary rights and licenses for any content submitted through the platform.
6.3 Copyright-Infringing Content
The distribution, reproduction, or promotion of content that infringes upon copyright law is expressly forbidden. This includes, but is not limited to, the use of leaked or unreleased music albums, unauthorized reproduction of films, television content, literary works, software, or any other copyrighted material. As noted in Section Three, Creators found in violation of this provision bear sole liability for any resulting legal action.
6.4 Violent Extremism and Hate Speech
Content that engages in, encourages, promotes, or celebrates unlawful violence or hate speech toward any individual or group is strictly prohibited. This includes content that targets any person or group on the basis of race, religion, disability, gender, sexual orientation, national origin, or any other immutable characteristic. STORI reserves the right to remove any content deemed to fall within this category and to report such content to relevant authorities.
6.5 Child Sexual Abuse Material (CSAM)
The creation, distribution, possession, or facilitation of child sexual abuse material (CSAM) or any content that sexually exploits minors is absolutely prohibited and constitutes a zero-tolerance violation. STORI will immediately terminate the accounts of any user found to be involved in such activity, permanently forfeit any associated funds, and will report all such violations to the National Center for Missing and Exploited Children (NCMEC) and all applicable law enforcement agencies. There are no exceptions to this policy.
6.6 Enforcement
STORI reserves the right, but not the obligation, to monitor content submitted through the platform for compliance with this policy. Discovery of prohibited content may result in immediate suspension or termination of the offending user's account, forfeiture of any funds in The Vault, and referral to applicable legal authorities. STORI's determination of a violation under this Section is final and binding, consistent with the dispute authority established in Section 4.
